Terms of Service

These Terms of Service ("Terms") govern your access to and use of V101.ai, a platform that records conversations and uses AI to produce derivative content — clips, shorts, transcripts, social posts, titles, descriptions, and marketing assets — and distributes that content across multiple channels from a single canonical source. V101.ai is operated by H33.ai, Inc. ("H33.ai," "we," "us," or "our"). By accessing or using V101.ai, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By creating an account, accessing, or using V101.ai, you represent that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• All information you provide is accurate and complete

2. Service Description

V101.ai provides:

• Video Conferencing: Encrypted video and audio communication via WebRTC with screen sharing, chat, and recording capabilities
• AI Transcription: Real-time and batch transcription powered by third-party AI services (Deepgram, OpenAI Whisper, AssemblyAI)
• Video Editor: Clip creation, editing, captioning, and export tools
• Social Publishing: Publish video content to connected social media platforms (TikTok, Instagram, YouTube, LinkedIn, Facebook)
• Analytics: Usage metrics, performance charts, and platform distribution insights
• Marketplace: Browse and acquire video templates and assets
• Developer Tools: API keys, webhooks, and audit logs for programmatic access
• Billing & Workspace Management: Team workspaces, usage tracking, and subscription management

3. Account Registration and Security

3.1 Account Creation

To use V101.ai, you must:

• Provide a valid email address
• Verify your email via magic link authentication
• Create and maintain accurate account information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account and authentication tokens
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Enabling two-factor authentication (2FA) when available for additional security
• Safeguarding any API keys you generate — treat them as passwords

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms
• You engage in prohibited activities (see Section 7)
• Your payment fails or is disputed
• We are required to do so by law

4. HIPAA Compliance and Healthcare Use

4.1 Business Associate Agreement

If you are a Covered Entity or Business Associate under HIPAA, you must enter into a Business Associate Agreement (BAA) with H33.ai before transmitting Protected Health Information (PHI) through V101.ai. Contact support@h33.ai to execute a BAA.

4.2 Your Responsibilities

When using V101.ai for healthcare purposes, you must:

• Obtain appropriate patient consent for telemedicine services
• Comply with state and federal telehealth regulations
• Verify patient identity before providing healthcare services
• Understand that AI transcription sends audio to third-party processors (see Privacy Policy Section 4)

5. Video Conferencing

5.1 Media Access

V101.ai requires access to your device's camera, microphone, and/or screen for conferencing features. This access:

• Requires explicit browser permission each time (or until you choose to "always allow")
• Can be toggled on/off at any time during a meeting
• Is used only for real-time communication and recording (when enabled)

5.2 Recording & Transcription

• Recording requires explicit activation by the meeting host
• All participants should be notified when recording or transcription is active
• You are responsible for complying with all applicable recording consent laws (some jurisdictions require all-party consent)
• AI transcription sends audio data to third-party AI providers as described in our Privacy Policy

5.3 Chat Messages

In-meeting chat messages are transmitted via WebSocket and stored as part of the meeting record. Chat messages are visible to all meeting participants.

6. Video Editor, Export & Social Publishing

6.1 Video Editing

• V101.ai provides tools to clip, edit, caption, and export video content from your recordings
• AI-generated captions are provided for convenience and may contain errors — review before publishing
• Exported content is generated on our servers and available for download upon completion

6.2 Social Media Publishing

• You may connect social media accounts (TikTok, Instagram, YouTube, LinkedIn, Facebook) to publish video content directly
• By publishing, you represent that you have the right to distribute the content and that it complies with the target platform's terms of service
• H33.ai is not responsible for any actions taken by social media platforms (content removal, account restrictions, etc.) in response to content you publish through V101.ai
• You may schedule content for future publication — scheduled content will be published at the designated time unless cancelled
• Bulk publishing operations apply to all selected clips — review your selection carefully before confirming

6.3 Content Ownership

You retain ownership of all content you create, record, edit, and publish through V101.ai. By using the Service, you grant H33.ai a limited license to store, process, and transmit your content solely to provide the Service.

7. Acceptable Use Policy

7.1 Permitted Uses

• Business meetings, collaboration, and team communication
• Content creation, editing, and social media publishing
• Healthcare consultations (with appropriate BAA)
• Educational and training purposes
• Programmatic access via API for legitimate business purposes
• Any lawful purpose consistent with these Terms

7.2 Prohibited Activities

You may NOT:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Engage in harassment, abuse, or threatening behavior
• Share illegal, obscene, or defamatory content
• Attempt to circumvent security measures
• Use bots, scrapers, or automated tools without permission
• Reverse engineer or decompile the Service
• Resell or sublicense access to V101.ai or its API
• Share accounts, credentials, or API keys with unauthorized parties
• Impersonate others or misrepresent your identity
• Use the API to exceed published rate limits or abuse service resources
• Publish content through V101.ai that violates the target platform's community guidelines

8. Marketplace

8.1 Template Purchases

• The V101.ai marketplace offers video templates and assets for purchase
• Purchased templates are licensed for your use within V101.ai — not resale or redistribution
• Template purchases are non-refundable once the template has been accessed or downloaded
• H33.ai does not guarantee the availability of specific marketplace items

8.2 Third-Party Templates

Templates created by third-party creators are subject to the creator's license terms in addition to these Terms. H33.ai is not responsible for the quality or suitability of third-party templates.

9. API Access & Developer Terms

9.1 API Keys

• You may generate API keys to access V101.ai programmatically
• API keys are shown once at creation — store them securely. We cannot recover lost keys.
• You are responsible for all API activity under your keys
• Rotate or delete compromised keys immediately
• We reserve the right to revoke API keys that are abused or violate these Terms

9.2 Webhooks

• You may configure webhook endpoints to receive event notifications from V101.ai
• You are responsible for securing your webhook endpoints (HTTPS required)
• Failed webhook deliveries may be retried but are not guaranteed
• Webhook event data may contain sensitive information — handle it accordingly

9.3 Rate Limits

API access is subject to rate limits based on your subscription plan. Exceeding rate limits may result in temporary throttling. Persistent abuse may result in key revocation.

10. AI Features & Disclaimers

10.1 AI Processing

By enabling AI features (transcription, highlights, summaries, captions), you acknowledge that:

• Your audio/video content will be sent to third-party AI providers for processing (see Privacy Policy Section 4)
• AI-generated content is provided "as-is" without warranty of accuracy
• Do not rely on AI transcripts or summaries for critical medical, legal, or financial decisions without human verification
• AI processing introduces a brief delay and requires an active internet connection

10.2 AI Avatar & Bot Integrations

V101.ai may integrate with AI avatar services (HeyGen) and meeting bot services (Recall.ai). When these features are used:

• Content is shared with the respective third-party service
• Third-party terms and privacy policies apply
• AI-generated avatars and bot interactions do not represent real human communications

11. Intellectual Property

11.1 H33.ai's Rights

V101.ai, including all software, designs, trademarks, and platform content, is owned by H33.ai and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service.

11.2 Your Content

You retain ownership of all content you create, upload, record, or transmit through V101.ai. By using the Service, you grant H33.ai a limited license to:

• Store and transmit your content to provide the Service
• Process your content with AI services (when you enable AI features)
• Publish your content to social media platforms (when you initiate publishing)
• Create backups for data redundancy
• Use de-identified, aggregate data to improve the Service

11.3 Feedback

If you provide feedback or suggestions, H33.ai may use such feedback without obligation or compensation.

12. Payment and Billing

12.1 Subscription Plans

V101.ai offers various subscription plans. Pricing is available in the app billing section.

12.2 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• Usage-based charges (recording storage, AI processing, export jobs) are billed monthly in arrears
• All fees are non-refundable except as required by law
• You authorize automatic renewal and recurring charges via Stripe
• Price changes require 30 days' notice

12.3 Payment Disputes

If you dispute any charges, notify us within 30 days. Chargebacks may result in account suspension.

12.4 Taxes

Fees do not include applicable taxes. You are responsible for all sales, use, VAT, and other taxes.

13. Third-Party Services

V101.ai integrates with third-party services. Your use of these integrations is subject to their respective terms and privacy policies:

• Deepgram, OpenAI, AssemblyAI — AI transcription processing
• Stripe — Payment processing
• TikTok, Instagram, YouTube, LinkedIn, Facebook — Social media publishing
• HeyGen — AI avatar generation
• Recall.ai — Meeting bot integration

H33.ai is not responsible for the availability, accuracy, or actions of third-party services.

14. Service Level and Availability

14.1 Uptime Commitment

We strive for 99.9% uptime but do not guarantee uninterrupted service. Planned maintenance will be announced in advance.

14.2 Service Modifications

• We reserve the right to modify, suspend, or discontinue features
• Update the Service for security or performance
• Impose usage limits to ensure fair use

15. Disclaimers and Limitations of Liability

15.1 Service "AS-IS"

15.2 AI Accuracy Disclaimer

AI-generated transcripts, summaries, captions, highlights, and analytics are provided for convenience and may contain errors. Do not rely on AI output for critical medical, legal, or financial decisions without human verification.

15.3 Social Publishing Disclaimer

H33.ai is not responsible for the consequences of content you publish to social media platforms through V101.ai, including but not limited to content removal, account restrictions, or third-party claims.

15.4 Limitation of Liability

15.5 Exceptions

Some jurisdictions do not allow limitations on warranties or liability. In such jurisdictions, the above limitations may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless H33.ai and its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including attorneys' fees) arising from:

• Your use of V101.ai
• Your violation of these Terms
• Your violation of any law or rights of third parties
• Content you create, edit, or publish through the Service
• Your use of V101.ai for healthcare purposes
• Your API usage or webhook configurations

17. Export Controls

V101.ai is subject to U.S. export control laws. You may not use V101.ai in violation of U.S. export laws or regulations, or export V101.ai to embargoed countries or sanctioned individuals.

18. Dispute Resolution

Before filing a claim, contact us at support@h33.ai to attempt informal resolution.

19. Term and Termination

19.1 Termination by You

You may terminate by closing your account. Prepaid fees are non-refundable. We recommend exporting your data before account closure.

19.2 Effect of Termination

• Your right to use V101.ai immediately ceases
• All API keys are revoked
• All webhook configurations are deleted
• Social media platform connections are disconnected
• Your content may be deleted per our retention policy
• Provisions that should survive termination remain in effect

20. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be brought in the state or federal courts located in Delaware.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy and BAA (if applicable), constitute the entire agreement between you and H33.ai.

21.2 Amendments

We may modify these Terms at any time. Material changes will be notified via email or in-app notice 30 days before taking effect.

21.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

21.4 No Waiver

Failure to enforce any provision does not constitute a waiver.

21.5 Assignment

You may not assign these Terms. H33.ai may assign these Terms in connection with a merger, acquisition, or sale of assets.

21.6 Force Majeure

H33.ai is not liable for delays or failures due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, labor disputes, or internet/telecommunications failures.
